1. Acceptance of Terms

By accessing or using RestrozHQ (“Company”, “we”, “us”, or “our”), including our website, mobile applications, AI payout analysis tools, marketplace, consultancy services, and all related services (collectively, the “Services”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree to these Terms, you must not use the Services.

These Terms constitute a legally binding agreement between you and RestrozHQ. We may update these Terms from time to time, and continued use of the Services after any changes means you accept the revised Terms.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Services. By registering an account, you represent and warrant that you are eligible to use the Services and that all information you provide is accurate, complete, and current.

The Services are intended for restaurant owners, operators, managers, and authorised representatives of food businesses. You may not use the Services on behalf of a third party unless you are authorised to do so.

3. Account Registration

To access most features of the Services, you must register for an account. You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account.

You agree to notify us immediately of any unauthorised access to or use of your account. We reserve the right to suspend or terminate your account if we suspect fraudulent, unauthorised, or unlawful activity.

4. Restaurant Owner Responsibilities

As a restaurant owner or authorised user, you are responsible for:

• Ensuring all business information, documents, and data you upload are accurate and lawful.
• Maintaining valid licences, registrations, and permits required to operate your business.
• Complying with applicable food safety, labour, tax, and data protection laws.
• Using the Services only for legitimate business purposes.

5. Marketplace Orders

RestrozHQ Marketplace enables restaurant owners to purchase products and services from third-party suppliers. All orders placed through the Marketplace are subject to these Terms and any additional terms provided by the supplier.

We act as an intermediary platform and are not the seller of goods or services listed on the Marketplace unless explicitly stated. Suppliers are responsible for product quality, delivery, warranties, and returns. Disputes between buyers and suppliers should be resolved directly, though we may assist in mediation where appropriate.

6. Consultancy Services

RestrozHQ may offer consultancy services to help restaurants grow and optimise operations. Consultancy engagements are governed by separate agreements or scopes of work where applicable. General advice provided through the platform is for informational purposes only and does not constitute professional, legal, financial, or tax advice.

7. AI Payout Analysis Disclaimer

RestrozHQ uses artificial intelligence and machine learning to analyse uploaded payout reports and generate insights. AI-generated outputs are provided for informational and decision-support purposes only.

We do not guarantee the accuracy, completeness, or reliability of AI-generated insights. You must independently verify all outputs before making business, financial, tax, or compliance decisions. RestrozHQ is not liable for any loss or damage resulting from reliance on AI-generated analysis.

8. Pricing & Payments

Prices for products, services, and subscriptions are listed on the platform and may be updated from time to time. All fees are quoted in Indian Rupees (₹) unless otherwise stated and are exclusive of applicable taxes, which will be added at checkout.

Payments are processed through secure third-party payment gateways. By providing payment information, you authorise us and our payment partners to charge the applicable fees. You are responsible for ensuring that your payment information is accurate and up to date.

9. Subscription Plans

RestrozHQ offers subscription plans, including but not limited to Cloud Kitchen, Restaurant, and Brands plans. Each plan has specific features, usage limits, and pricing as described on the platform. Subscription fees are charged in advance for the selected billing period.

Upgrading or downgrading your plan may result in prorated charges or credits. We reserve the right to modify plan features and pricing with reasonable notice. Free-tier users may have limited access to AI analysis and other premium features.

10. Cancellation & Refunds

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation will take effect at the end of the current billing period, and you will continue to have access until then.

Refunds are provided at our sole discretion, except where required by applicable law. Setup fees, one-time service fees, and Marketplace orders are generally non-refundable unless the product or service is defective or not delivered as described.

11. Intellectual Property

All content, software, designs, trademarks, logos, and materials on the RestrozHQ platform are owned by or licensed to RestrozHQ and are protected by intellectual property laws. You may not copy, modify, distribute, sell, lease, or create derivative works from our intellectual property without our prior written consent.

You retain ownership of any content or data you upload to the platform. By uploading content, you grant us a limited licence to use, store, and process it solely to provide and improve the Services.

12. User Content

You are solely responsible for any content, documents, or data you upload, submit, or share through the Services. You represent that you have the right to upload such content and that it does not violate any third-party rights or applicable laws.

We reserve the right to remove or restrict access to any user content that violates these Terms, infringes intellectual property, or is otherwise objectionable or harmful.

13. Prohibited Activities

You agree not to:

• Use the Services for any illegal, fraudulent, or unauthorised purpose.
• Interfere with or disrupt the platform, servers, or networks.
• Attempt to gain unauthorised access to accounts, systems, or data.
• Upload viruses, malware, or harmful code.
• Reverse engineer, decompile, or disassemble any part of the Services.
• Impersonate any person or misrepresent your affiliation with any entity.
• Harass, abuse, or harm other users or suppliers.

14. Limitation of Liability

To the maximum extent permitted by law, RestrozHQ and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, data, or goodwill, arising out of or related to your use of the Services.

Our total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the total amount paid by you to RestrozHQ in the twelve (12) months preceding the event giving rise to the liability, or ₹5,000, whichever is higher.

15. Indemnification

You agree to indemnify, defend, and hold harmless RestrozHQ and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or relating to your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

16. Account Suspension & Termination

We reserve the right to suspend, restrict, or terminate your account and access to the Services at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to the platform or other users.

Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, indemnification, limitation of liability, and governing law.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.

You agree to first attempt to resolve any dispute informally by contacting us at hello@restrozhq.com. If we are unable to resolve the dispute within thirty (30) days, either party may pursue formal remedies as permitted by law.
